By accessing or using the Site (AudioRokit) you signify that you have read, understand and agree to be bound by these Terms of Use. AudioRokit reserves the right, in its sole discretion, to change, modify, add, or delete portions of these Terms of Use at any time without notice; any such change, modification, addition or deletion will be effective when it is posted on the Site.

Our Service

AudioRokit makes available to members a list of music related job, or pitch opportunities, a facility to submit material and/or information to posters of job adverts and provides a place to showcase material and contact other members on the site. The job opportunities are posted by third party users who are in no way affiliated with us. Members may upload and store songs and other media to our server, and use our submission software to pitch their material to the third party job posts. All subscribed members media, including audio, video, photos and text is available to view on the website by the public, thus you must own the rights to your song(s), or have the permission of the copyright holder to use our service.

By making your profile public, you acknowledge that any internet user visiting AudioRokit may view your profile, including photos and that you can be contacted at anytime via email by other paying members. AudioRokit can not guarantee the legitimacy of the advertisers and is not responsible for any posts made by advertisers. AudioRokit can not guarantee any number of ads will be posted and is not responsible for providing a minimum number of ads, or for their quality or accuracy. AudioRokit does not promise or guarantee and specific results from the use of the site. You should use your own judgement when applying to an advert and take all reasonable caution when submitting your application details to an advertiser, calling an advertiser or meeting with an advertiser in person.

Maintaining a positive community

AudioRokit believes that the Site should be a fair, reliable and positive place for musicians to pitch, and showcase their material. AudioRokit reserves the right without prior notice to affected Users to remove material (including, but not limited to photos, text, audio files, User submissions, User profiles, and User accounts) from the Site because it is harmful, threatening, abusive, harassing, without copyright, obscene, hateful, pornographic, libellous or otherwise deemed, in the sole discretion of AudioRokit, to be incompatible with these Terms of Use and/or the goals of the Site.

AudioRokit believes strongly in the right of individuals to maintain control over their songs and promotes a safe environment to pitch their work. Our policy on copyright is simple, and requires the members to properly copyright their material BEFORE uploading to AudioRokit. At no point do we imply that we are a copyright service, or that by uploading to our servers your material is automatically protected. AudioRokit shall not be responsible for any copyright issues with the members material. Please see the "copyright" section for full details.

AudioRokit can not be held liable under any circumstances for the actions of any third party advertiser, or for the consequences of any member applying to an advertiser. Our service is to only provide a platform for advertisers to post their job roles, and for members to submit their details to the advertisers if they wish. Similarly, AudioRokit is not responsible for members profile details or the accuracy of members’ personal information. Advertisers should always use their own judgement in deciding whether to contact, or audition members. We shall not be liable under any circumstances for the actions of any member. By submitting an advert on AudioRokit, you agree that the use of your name, website, email and logo may be used unless specified otherwise.

Users’ Agreement not to use the Site for marketing purposes:

AudioRokit reserves the right without prior notice to members to remove any message or industry ad held on our servers that promotes a rival business, is not related to the music industry, is deemed in anyway inappropriate, is considered spam or is asking for money from our members.

Copyright

To submit a song, you must own the copyright to the material in question or be authorized by the copyright holder to act on their behalf. AudioRokit shall not be responsible for any copyright issues with the members material, including anything that constitutes a breach or infringement of any copyright or which shall be in any way illegal.

You agree to indemnify and hold AudioRokit, its subsidiaries and affiliates, and each of their owners, directors, officers, agents, contractors, partners, joint venturers and employees, harmless from and against any loss, liability, claim, or demand, including attorney’s fees, arising out of any claim, action, investigation or proceeding made or instituted by any third party based on copyright infringement due to or arising out of your use of the Site (including, but not limited to, the Services, User visits to or use of the Site) in violation of these Terms of Use or your violation of any law or the rights of a third party..

By uploading files, you grant AudioRokit worldwide, royalty-free and for payment of no compensation of any kind, a non-exclusive perpetual license(s) to use for public performance such content on the Site in connection with the Site, the operation of the Site and in connection with Audio Rokit’s business. This license exists only for as long as you elect to continue to include such content on the Site and will terminate at the time you remove or AudioRokit removes such content from the Site. AudioRokit does not claim any rights to a User’s music other than the right to use it for public performance on the Site.

Privacy

AudioRokit takes the privacy of the Site Users very seriously. Users can choose what information they would like to make public by adding it to their Profiles, and such information will be visible to other Users of the Site. AudioRokit does not sell any personal information submitted by it's members during signup. Users agree not to share, syndicate, reproduce, or otherwise disseminate the information from another User’s Profile or other information exchanged via communication facilitated by the Site without the express written consent of that User.

AudioRokit may disclose information about the Site Users if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to court orders, or other legal process.

AudioRokit may also disclose information about the Site Users to law enforcement officers or others in the good faith belief that such disclosure is reasonably necessary to enforce our Terms of Use, respond to claims that any posting or other User Submission violates the rights of third-parties, infringes on someone else copyright or to protect the rights, property, or personal safety of AudioRokit, its owners, officers, directors, agents, subsidiaries, joint venturers or employees, the Site, its Users or the general public.

Membership

You agree that when you make your profile public or include your photo and music in the talent directory that AudioRokit will publish your personal information and photos, and allow other members to contact you. You also agree that you will not use the contact system to send junk mail, competing website advertising, spam, offensive material, or for any purposes other than those directly related to auditions or music related projects. Any breach of these conditions, as determined by AudioRokit can result in your membership being terminated and a permanent ban from the site. No refund will be given if you have breached the conditions of use.

Registration with AudioRokit free of charge. By registering you are signing up to receive our email newsletter. If you don't want to find out about our latest hits, tips, news and offers, you can unsubscribe at any time. Paid memberships offering increased functionality are available, but paid memberships are non-refundable and are automatically renewed on a monthly basis. The purchasers of monthly memberships are billed continually on a monthly basis unless the purchaser cancels the membership.

Site membership fees already billed in the month a purchaser chooses to cancel are not refunded. Memberships are generally billed on the same day of the month on which they are purchased. If payments cannot be charged to a credit card or are otherwise incomplete for any reason, AudioRokit, in its sole discretion and without prior notice, reserves the right either to suspend or terminate access to a purchaser’s account. AudioRokit, in its sole discretion and without prior notice, reserves the right to add, remove, or make modifications to the features included in particular memberships at any time, including the right to adjust storage and bandwidth limits.

Users are responsible for maintaining the confidentiality of account and password information and agree to accept responsibility for all activities that occur under the User’s account or password.

Persons under the age of 18

This site is intended for persons aged 18 or over. Minors who access this site are required to be supervised by a parent or guardian. Persons under the age of 18 are not permitted to register on the AudioRokit Site. If you are under 18, please ask apparent or guardian to join on your behalf and overlook all of your activity on the site, including uploading songs, posting industry ads and applying to industry postings.

User Disputes

AudioRokit is not responsible for enforcing Terms or arbitrating, hearing or settling disputes over User Terms that may arise between Users. AudioRokit reserves the right, but has no obligation, to monitor disputes between Users of the Site.

Links to Other Websites

The Site contains links to other web sites. AudioRokit has not reviewed all of these web sites and is not responsible for the content, accuracy or opinions expressed in such other web sites. If Users decide to leave the Site and access these other third-party sites, they do so at their own risk.

Billing

By entering into this Agreement, you acknowledge that your subscription has a recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. AudioRokit may submit periodic charges (e.g., monthly) without further authorization from you, until you unsubscribe or advice us that you wish to cancel your payment method.

We reserve the right to vary the fees in accordance with these terms and conditions from time to time. Once subscribed your price is fixed. We may increase or decrease the price of our services for promotional purposes. AudioRokit bills you monthly through an online payment processing facility for use of the service. AudioRokit reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment.

Subscriptions and Charges to advertisers

AudioRokit does not make a charge to an advertiser in any event and never takes commission for successful placements.

Price Changes

We reserve the right to increase fees or introduce new prices or charges at any time.

Refunds

You have the right to cancel your membership with AudioRokit and claim a refund within 7 days of your first subscription payment to AudioRokit, provided you have not contacted any advertiser or uploaded any songs (which therefore makes your profile public)

Disclaimers

AudioRokit is not responsible for any incorrect or inaccurate content on the Site, User Submission or any other User-generated material posted on the Site or in connection with the Site. AudioRokit is not responsible for the conduct, whether online or offline, of any User of the Site.

The Site may be temporarily unavailable from time to time for maintenance or other reasons. AudioRokit assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, unauthorized access to, or alteration of User communications. AudioRokit is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to Users or to any other person’s computer related to or resulting from using the Site.

Under no circumstances will AudioRokit be responsible for any loss or damage, including, but not limited to, personal injury or death, resulting from anyone’s use or viewing of the Site, any User Submissions or any other User-generated material posted on or through the Site or transmitted to Users, or any interactions between Users of the Site, whether online or offline.

THE SITE, ITS CONTENT, USER SUBMISSIONS AND ANY USER-GENERATED MATERIAL ARE PROVIDED “AS-IS” WITHOUT WARRANTIES OF ANY KIND AND AUDIOROKIT DISCLAIMS ANY AND ALLWARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. AUDIOROKIT DOES NOT PROMISE OR GUARANTEE ANY SPECIFIC RESULTS FROM USE OF THE SITE.

Limitation on Liability

USERS WILL NOT HOLD AUDIOROKIT RESPONSIBLE FOR OTHER USERS’ ACTIONS OR INACTIONS, INCLUDING FILES UPLOADED TO THE SITE. YOU ACKNOWLEDGE THAT THE SITE IS A VENUE TO ALLOW THE SHOWCASING OF AUDIO FILES FOR THE PURPOSES OF COLLABORATION, AND THE SUBMISSION OF DATA FOR THE PURPOSES OF APPLYING TO THIRD PARTY INDUSTRY ADS . AUDIOROKIT IS NOT INVOLVED IN THE ACTUAL TRANSACTION BETWEEN MEMBERS AND/OR POSTER OF ANY INDUSTRY AD LISTED ON THE SITE.

AUDIOROKIT HAS NO CONTROL OVER, DOES NOT GUARANTEE, AND DISCLAIMS ANY AND ALL LIABILITY FOR THE TRUTH OR ACCURACY OF ADVERTS LISTED ON THE SITE OR THE ABILITIES OR ACURANCY OF ANY MEMBER OR THEIR CLAIMS.

IF YOU HAVE A DISPUTE WITH ONE OR MORE USERS, YOU RELEASE AUDIOROKIT (AND ITS OFFICERS, DIRECTORS, AGENTS, SUBSIDIARIES, JOINT VENTURES AND EMPLOYEES) FROM CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES.

Audio Rokit’s liability and responsibility is excluded in respect of any and all loss or damage, whether direct or indirect, including, without limitation, loss of profits, loss of data, loss of business or anticipated savings, general and special damages, and consequential and incidental loss.

Governing Law and Venue

The AudioRokit website is operated and controlled from United Kingdom. These terms and conditions and any agreements with AudioRokit arising from our website are governed by United Kingdom law. Any dispute arising in relation to these terms and conditions and any agreement arising from our website will be heard in United Kingdom and resolved in accordance with United Kingdom law.

Indemnity

You agree to indemnify and hold AudioRokit, its subsidiaries and affiliates, and each of their owners, directors, officers, agents, contractors, partners, joint ventures and employees, harmless from and against any loss, liability, claim, or demand, including reasonable attorney’s fees, arising out of any claim, action, investigation or proceeding made or instituted by any third party due to or arising out of your use of the Site (including, but not limited, the Services, User visits to or use of the Site) in violation of these Terms of Use or your violation of any law or the rights of a third party.

Viruses

Although we take reasonable steps to prevent the introduction of viruses on our website we cannot be held liable for any such destructive materials. If you use any materials available through this website, you do so solely at your own risk.

Breach

Without limiting any other rights available to AudioRokit, we may limit your activities on the web site, remove your advertisements, remove your profile and files, issue a warning to you, suspend or terminate your membership, or refuse to provide our services to you if you breach these terms and conditions or where AudioRokit considers it appropriate.

User Responsibly

You must provide current, complete and accurate information for your billing account. You must promptly update all information to keep your billing account current, complete and accurate (such as a change in billing address, credit card number, or credit card expiration date), and you must promptly notify AudioRokit if your payment method is cancelled (e.g., for loss or theft) or if you become aware of a potential breach of security, such as the unauthorized disclosure or use of your user name or password.

Changes to such information can be made by emailing contact@audiorokit.co.uk. If you fail to provide AudioRokit any of the foregoing information, you agree that AudioRokit may continue charging you unless you have terminated your subscription for the service. Your AudioRokit subscription will be automatically extended for the full term of the agreement which is typically one year, or until you cancel your subscription plan.

Termination of Service

You can cancel your agreement at anytime from within your admin area or by emailing contact@audiorokit.co.uk

You agree that AudioRokit, in its sole discretion and without prior notice, has the right but not the obligation to delete or deactivate your Site account, block your email or IP address, or otherwise terminate your access to or use of the Site (or any part thereof), immediately and without notice, and remove and discard any User Submissions within the Site, for any reason, including, without limitation, if AudioRokit believes that you have acted inconsistently with these Terms of Use.

Intellectual Property

Materials contained on this website are protected under copyright and other laws of the United Kingdom and under international conventions and similar laws abroad. You are not permitted to use or reproduce or allow anyone to use or reproduce the name and logo of AudioRokit for any reason without our express written permission

Information and security

We shall not be held liable for any loss, damage or consequences as a result of inaccurate or incomplete information we receive from you. You are responsible for any use of our on-line service with your password and protecting your password from unauthorised use. You are also responsible for the security of any computer where you choose to remain signed in to AudioRokit.

Definitions of certain terms used in these Terms of Use

“Site” – The web site located at www.audiorokit.co.uk. and all of its various sub-domains.

“User(s)” – Individuals who visit the Site and do not register; individuals who register with the Site and become free members; and, individuals who register with the Site and purchase paid memberships.

“User Submissions” – includes files uploaded by Users to the Site for legitimate collaborative purposes, and files uploaded by Users to Profiles (including User photos, sample music, and other media the Site may accept as part of the Profile). Also includes submissions made to industry ads posted by members, whereby a member submits their profile and/or music to a third party via our website submission facility.
